Skyscanner Auction Terms and Conditions

The Skyscanner Auction Terms and Conditions (“Auction Terms”) together with the Documentation any applicable Insertion Orders, which are hereby incorporated by reference, are supplemental to any existing Partner Order Forms and the Skyscanner Partner Terms. The Auction Terms set out the terms and conditions on which Customer may access or otherwise make use of any of the Auction Services provided by Skyscanner. The Auction Terms shall only apply to those Customers who have executed an Auction Addendum and who access any of the Services described in the Auction Terms. All terms not defined herein shall have the meanings given in the Skyscanner Partner Terms. The term “Auction Services” shall be incorporated into the definition of “Services” in the Skyscanner Partner Terms. In the event of any conflict between the Agreement and the Skyscanner Terms or Auction Terms, the Skyscanner Terms and Auction Terms shall prevail

1. Definitions

In these Terms the following definitions shall apply:

1.1 “Auction Services” means the Car Hire Auction Services and the Hotel Auction Services.

1.2 “Campaign Car Minimum” means the minimum set CPC value required for a bid for a specific auction for placement in Skyscanner’s Car Hire product, which is based on the minimums required for each dimension as set out in the Documentation.

1.3 “Campaign Hotel Minimum” means the minimum set CPC value required for a bid for a specific auction in a Hotel Auction.

1.4 “Car” means a car or any other type of vehicle offered for short-term rental which is owned, managed or promoted by the Customer.

1.5 “Car Hire Auction” means an auction for placement of an offer within the Skyscanner car hire comparison product.

1.6 “Car Hire Auction Services” means the ability for the Customer to take part in a Car Hire Auction in accordance with the Documentation and in the markets where the Car Hire Auction Services are made available by Skyscanner.

1.7 “CPC” means cost per Click.

1.8 “Documentation” means the documentation which governs the use of the relevant Auction Services as provided by Skyscanner to the Customer from time to time, and includes, but is not limited to, the Skyscanner MCPC Operations Guide, the Skyscanner Car Hire Click and Insights Report, the Auction Core Logic Guide, the Auction Operations Guide, the Multiplier File Submission Guide and the Bid File Submission Guide, and as may be amended or updated from time to time, and any required Insertion Orders.

1.9 “Global Minimum Bid” means the minimum set CPC value required for a bid to be considered for an auction.

1.10 “Hotel Auction” means an auction for placement of an offer within the Skyscanner hotel comparison product.

1.11 “Hotel Auction Services” means the ability for the Customer to take part in a Hotel Auction in accordance with the Documentation and in the markets where the Hotel Auction Services are made available by Skyscanner.

1.12 “Maximum CPC” means the maximum CPC which the Customer will be able to set on a global or individual Property basis in Hotel Auctions.

1.13 “Property” means a hotel or similar short-term accommodation, which is owned, managed or promoted by the Customer.

Hotel Auction Services

2.1 In accordance with these Auction Terms, Skyscanner shall provide the Customer with the Hotel Auction Services on the Skyscanner Site.

2.2 The display of Customer’s offer for a Property in Skyscanner’s hotel price comparison product is based on a complex, multi-factor, CPC bid-based auction model where Skyscanner operates as a facilitator for each auction. Skyscanner does not guarantee that Customer’s Property offer will display at any specific position or that other customers will not outbid Customer.

2.3 The Auction Services operate with a Global Minimum Bid and Campaign Hotel Minimum requirements. Skyscanner sets the Campaign Hotel Minimum using a multi-factor, complex model.

2.4 Skyscanner will facilitate the Customer being able to set a Maximum CPC.

2.5 In order to access the Auction Services in a specific market, the Customer must first complete and submit an Insertion Order. The Insertion Order shall set out which market or markets the Customer wishes to operate in.

2.6 The Customer must provide the relevant bidding information to Skyscanner in accordance with the Documentation, or as otherwise advised from time to time.

Car Hire Auction Services

3.1 In accordance with these Auction Terms, Skyscanner shall provide the Customer with the Car Hire Auction Services on the Skyscanner Site.

3.2 The display of Customer’s offer for a Car in Skyscanner’s car hire comparison product is based on a complex, multi-factor, CPC bid-based auction model where Skyscanner operates as a facilitator for each auction. Skyscanner does not guarantee that Customer’s Car offer will display at any specific position or that other customers will not outbid Customer.

3.3 The Car Hire Auction Services operate with Campaign Car Minimum requirements. Skyscanner sets the Campaign Car Minimum using a multi-factor, complex model, and the minimums will relate to the various dimensions that are available to bid on as set out in the Documentation.

3.4 In order to access the Car Hire Auction Services in a specific market, the Customer must first complete and submit an Insertion Order. The Insertion Order shall set out which market or markets the Customer wishes to operate in and in which the Car Hire Auction Services are available.

4. Service Fees

4.1 The Service Fees payable in respect of the Auction Services shall be based on the CPCs in the relevant bidding files.

5. Amendments

5.1 Skyscanner may amend these Auction Terms at any time by giving the Customer written notice via email or via a notification in the Partner Centre.

6. Termination

6.1 Skyscanner may cease or pause providing Auction Services, including in any specific market, at any time, and will notify the Customer.

6.2 Customer may cease or pause using the Auction Services, including in any specific market, at any time, by informing its Skyscanner account manager.

6.3 On cessation of the Auction Services in whole or in part in accordance with clause 6.1 or 6.2, the Auction Terms shall no longer apply; however, the terms of any existing Partner Order Form and the Skyscanner Partner Terms shall continue to apply to the parties and the Service Fees will revert to those set out in the Customer’s Partner Order Form.

7. Liability

7.1 The Auction Services and Documentation are provided to the Customer “as is” and Skyscanner has no liability to the Customer for any loss or damage arising as a result of the inaccuracy or incompleteness of the Auction Services, the Documentation, or any information provided to the Customer by Skyscanner as part of the Services, or any decision taken by the Customer in reliance on the Auction Services, the Documentation, or any information provided by Skyscanner to the Customer as part of the Services.
